TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UI PEPTIDES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS OPPORTUNITIES, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES OR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

13. Arbitration & Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of our Services, or any products purchased ("Dispute") shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. Arbitration shall take place in Fort Lauderdale, Florida.

CLASS ACTION WAIVER: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

JURY TRIAL WAIVER: TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL IN ANY COURT PROCEEDING.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

15. Regulatory Compliance

Enhanced Rx by Clinical Flow MD operates in compliance with all applicable U.S. federal and state laws and regulations. Products are manufactured in GMP-aligned facilities and tested by independent laboratories regulated by Agile Telehealth. However, regulatory requirements vary by jurisdiction. It is the buyer's sole responsibility to determine whether any product is legal to purchase, possess, or use in their jurisdiction.

16. Third-Party Services & Links

Our Services may contain links to third-party websites or services, such as Agile Telehealth and OpenLoop Health. We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your interactions with third parties are solely between you and the third party, and Clinical Flow Med Design LLC shall have no liability arising from such interactions.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

No failure or delay by Clinical Flow Med Design LLC in exercising any right or remedy under these Terms shall operate as a waiver thereof. A waiver of any provision on one occasion shall not be deemed a waiver of any other provision or of the same provision on any other occasion.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein, constitute the entire agreement between you and Clinical Flow Med Design LLC regarding your use of our Services and supersede all prior agreements, representations, and understandings.

20. Force Majeure

Clinical Flow Med Design LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: natural disasters, acts of God, pandemics, epidemics, war, terrorism, government actions, embargoes, sanctions, labor disputes, supply chain disruptions, power failures, or internet or telecommunications failures.

21. Export Control & International Compliance

Products purchased from Clinical Flow Med Design LLC may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer our products to any country, entity, or person prohibited by applicable export control laws without obtaining all required government authorizations. Violation of export control laws may result in criminal and civil penalties.

22. DMCA & Intellectual Property Claims
